Services for Real Estate Purchasers and/or Sellers

(future and existing house)

(1) Review and revise <<Letter of House Subscription>><<Contract for Advance Sale of Commercial Houses in Guangdong>> and like documents for house purchase and sale;
(2) Investigate on credibility of the developer and project, and especially investigate on if compliance with the conditions of advance sale and delivery;
(3) Participate in house purchase negotiations and guide on signing of <<Letter of House Subscription>> <<Contract for Advance Sale of Commercial Houses in Guangdong>>;
(4) Provide follow-up services with respect to performance of advance sale contracts and give legal opinions in time;
(5) Represent clients in handling non-litigation issues involving the developer such as payment, delivery of possession and quality and like aspects.

Services for Real Estate Purchasers and/or Sellers

(Secondary property)

1. Content of legal services in connection with payment for house, rights and title:
(1) Guide and assist the seller and buyer in signing <<House Sale Contract>> <<Sale Contract for Commercial Houses in Guangdong>> and the like;
(2) Engaged by the buyer to investigate on if the seller has the title to the house and if the house is subject to mortgage, seal-up;
(3) Engaged by the seller to hold custody to the original copy of the certificate of the premises ownership and sign the application for house title transfer;
(4) Accept the amount of house purchase payment to be remitted into the firm’s account and hold custody to the account on behalf of clients, and sign the application for house title transfer;
(5) Handle the formalities of house title transfer, and obtain the certificate of the house ownership on behalf of the buyer
(6) When the attorney gives the buyer the certificate of the house title, the amount of the house purchase payment shall be given to the seller in full.

2. Content of legal services performed as buyer or seller’s attorney when being engaged by the buyer or seller:
(1) Review, revise and assist in signing of <<House Entrustment, Consulting Servcie Agreement>> and like middle-man contracts;
(2) Examine on if completeness of title transfer, investigate on credibility and status of the seller or buyer, inspect the title of the premises, and examine on if the house if subject to mortgage or other legal defects;
(3) Participate in negotiation of sale of the house and assist in signing of <<Guangdong House Sale Contract>>;
(4) Provide follow-up services in respect of transaction process and performance of the house sale contract, and give legal opinions in time;
(5) Assist in handling delivery of possession of the house;
(6) Represent the clients in handling non-litigation disputes between the middle-man and seller such as middle-man service, payment, delivery of possession and quality, etc.

Legal Services for Real Estate Brokerage Services

1. Acting as company retained legal counsel
(1) Provide legal consulting and legal suggestions in respect of company’s operation
and management;
(2) Review and revise <<House Entrustment Consulting Service Agreement>> and like middle-man contracts;
(3) Serve attorney letters on an as-needed basis and upon authorization;
(4) Assist in contacting and negotiation and guide signing of <<Real Estate Entrusted Agent Sale Agreement>>;
(5) Guide to settle non-litigation dispute and the like.

2. Individual legal services in the entire process of real estate middle-man services
(1) Investigate on premises owner and agent and like info;
(2) Examine on if completeness of transactional formalities of both seller and buyers, if the premises involves mortgage and other title defects that would give rise to failure of the transaction;
(3) Prepare legal documents for sale or rent of second-hand houses;
(4) Arrange signing of the contract by the both parties to the transaction, participate in negotiation and provide legal consulting;
(5) Representing the client in handling the disputes between the seller and buyer and between the lessor and lessee.

Services for Real Estate Lease

1. Investigate on credibility and status of the parties to a lease agreement;
2. Inspect if the formalities for leasing are complete and legal, and investigate on if there are restrictions or prohibition on leasing;
3. Participate in the contract negotiation, assist in signing of the lease agreement, and draft the relevant legal documents;
4. Assist in transfer of the house;
5. Entrusted to handle the registration and filing for lease agreements, and obtain on behalf <<House Leasing Public Security Permit>>;
6. Provide consulting services regarding taxes and fees involving in leasing of houses;
7. Represent the client in handling the disputes between the parties in respect of rent, delivery of possession of the house, quality and like aspect.

Legal Services for Real Estate Department

Content of legal services for real estate development and management:

(1) individual legal services in the process of sales, mainly include reviewing and revising apartment sale contracts, apartment sale handbook, apartment sale ads and like materials; assisting in negotiation of advance sale contracts and sale contracts, prepare and serve attorney letters for urging to make payment for the apartment and like legal services;
(2) individual legal services in the process of delivery: mainly include drafting, reviewing initial property management agreements, delivery notices, acknowledgement of receiving, certificates of premises quality, user manual of use of premises and like documents, on behalf of the clients serve relevant attorney letters, and assist in handling non-litigation disagreement with respect to delivery of the premises and like legal services;
(3) Entrusted Legal Services
i) Handle public notary and registration formalities of advance sale contracts; (sale of future houses)
ii) Handle the registration and filing formalities of advance sale contracts;
iii) Handle public notary and registration formalities of sale contracts; (sale of existing houses);
iv) Handle and collect title deed tax and transaction handling fees in sale of houses;
v) Handle premises location map and premises planes needed for obtaining the certificate;
